America Preserves Campaign Terms and Conditions

1. Kofile Technologies, Inc.’s (“Kofile”) America Preserves Campaign (the “Campaign”) is open only to legal residents of the United States eighteen (18) years or older. Kofile reserves the right to cancel, remove, or discontinue the Campaign at any time.
2. By submitting any content for consideration or use with the Campaign, including photos, videos, documents, text, or other materials, you represent and warrant that a) You are a U.S. resident eighteen years or older; b) You are the owner of the content or have full authority and all necessary rights, permissions, and consents to upload the content and to grant the rights described below; and c) Your submission does not violate or infringe upon the rights of any third party, including copyrights, trademarks, privacy rights, or confidentiality obligations.
3. You grant Kofile Technologies, Inc. (“Kofile”) a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, reproduce, display, create derivative works, and publish the content from your submission in connection with the Campaign and marketing or advertising purposes for Kofile including on its a) website; b) social media; c) marketing and promotional materials; and other d) internal and external communications.
4. You agree not to upload any content that is illegal, confidential, sensitive, inappropriate, offensive, or otherwise unsuitable for public display. This includes but is not limited to a) personal data of others without permission, b) confidential or proprietary business information; c) nudity, violence or graphic material; d) material containing or constituting hate speech, harassment, or discriminatory content; e) copyright materials you do not own or have the right to share; and f) malware, harmful code, or anything intended to disrupt technology systems.
5. Your submission is entirely voluntary and does not create any contract, employment relationship, partnership, or expectation of compensation between you and Kofile. Submissions will not be returned.
6. You understand and agree that all submissions are non-confidential, and your submission may be publicly displayed and may be used with or without attribution at Kofile’s discretion. Your submission may be edited or formatted to include cropping, resizing, or adding Kofile branding.
7. Kofile reserves the right, in its sole discretion to review, approve, reject, remove, or refuse to display any submission for any reason. You understand submitting content does not guarantee that it will be used, displayed, or featured, and Kofile may use or decline to use your submission at any time.
8. You waive any claims to compensation from Kofile for the use of your submission.
9. You agree to indemnify and hold Kofile harmless from any claims arising out of or related to your submission, including claims that content submitted infringes the rights of others.
10. If you believe that any content submitted to the Campaign infringes your copyright, please refer to our DMCA Takedown Policy found here for instructions on submitting a notice.
11. Any claims or disputes arising out of these terms or the Campaign will be governed by the laws of the State of Texas without regards to its conflicts of laws principles. Venue or any such claim will be exclusively in the federal or state courts sitting in Dallas, Texas.
