Kleio Individual User Terms of Use

Welcome to Kleio.

Kleio is owned and offered by Kofile Technologies, Inc., a Delaware corporation having a business address at 6300 Cedar Springs Road, Dallas, Texas  75235.

By accessing or using the Kleio Platform (“Kleio”) you acknowledge and agree to the following terms. If you do not agree, you may not use Kleio.

  1. Applicability of these Terms.
  2. “Organizational User”  means you access Kleio as an employee, contractor, or other authorized user of an entity or organization that has a separate subscription or agreement with Kofile (“Customer Agreement”) and in the event of a conflict with these Terms, the Customer Agreement will control for Organizational Users.  Your use of Kleio is primarily governed by the Customer Agreement. You are permitted to use the Service only as authorized by the Customer. These Individual User Terms apply solely to your conduct and responsibilities as an individual User.
  • “Public User”  means you access Kleio directly and not through a Customer Agreement. Kofile grants you a non-exclusive right to access and use Kleio and the data, material,  content, or information herein (collectively, the “Content”) solely for your personal use.  Your right to access and use Kleio shall be limited to non-commercial purposes unless you otherwise expressly authorized by Kofile to use Kleio for commercial purposes. The use of Kleio must comply with these Tems and policies and is provided on an “as is” basis.  
  • You acknowledge and agree to the Kleio platform Privacy Policy, which describes how information is collected, used, and protected. Continued use of Kleio constitutes acceptance of any updates to the Privacy Policy.
  • Acceptable Use Requirements.

You agree to use Kleio only for lawful and authorized purposes. You agree not to a) violate any law or regulation; b) access or attempt to access accounts, data, or systems, without permission; or circumvent or attempt to circumvent technical controls or usage limits.

In addition, you agree not to:

  • Use Kleio in any manner that could damage, disable, overburden, or impair Kleio or interfere with any other party’s use and enjoyment of the platform;
  • Use any robot, spider, or other automatic device, process or means to access Kleio for any purpose, including monitoring or copying any of the material on Kleio;
  • Use Kleio to post advertisements;
  • Attack or hack Kleio via a denial-of-service attack, a distributed denial-of-service attack or in some other manner;
  • License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the services or make them available to any third party;
  • Copy, modify, make derivative works of, disassemble, decrypt, reverse compile or reverse engineer Kleio
  • Use Kleio or the services for any purpose other than as permitted in these Terms.
  • Prohibited Content.

If your access to Kleio permits you to upload, submit, or transmit any content into Kleio, you represent you have all necessary rights and permission to any content you upload. You agree you will not to upload, submit, or transmit any content that: a) infringes the intellectual property, privacy, or other rights of any person; b) contains malware, viruses, or harmful code; c) is unlawful, obscene, harassing, defamatory, or otherwise inappropriate; d) includes sensitive personal information unless expressly permitted by the Customer Agreement or Kofile; or e) violates export control or data protection laws.

  • Account Access and Responsibilities
  • If you are provided with login credentials you agree a) to keep them confidential and secure; b) that you are responsible for all activity occurring under your login credentials; and c) that you will promptly notify Kofile or your organization, as applicable, of any unauthorized access, or suspected security incident.
  • You may not use automated systems, scripts, bots, scrapers, crawlers, or other automated means to submit high-volume inputs to AI Features, access, query, or otherwise interact with Kleio without Kofile’s prior written authorization.
  • Kleio Content

1.  The Kleio platform provides users access to Customers’ digital assets. Kleio does not create, own, or serve as the authoritative repository, official custodian, or source for any Customer records, including any “official” or “certified” status which is determined exclusively by Customer. 

2. Kleio is protected by copyrights, trademarks, or are subject to other proprietary rights.  Accordingly, you are not permitted to use Kleio in any manner, except as expressly permitted by Kofile in these Terms.  Kleio may not be copied, reproduced, modified, published, uploaded, posted, transmitted, performed, or distributed in any way, and you agree not to modify, rent, lease, loan, sell, distribute, transmit, broadcast, or create derivatives without the express written consent of Kofile.

  • Kleio Interactions

Kleio includes features using artificial intelligence in generating content based on Customer digital assets (AI Interactions). Kleio’s AI‑Features generate outputs based on automated models, User‑provided inputs, and other data in the platform. AI‑generated outputs may be inaccurate, incomplete, misleading, or inappropriate and are not guaranteed to be correct, current, or tailored to any specific use case. Users should not rely on AI‑generated outputs as a sole source of truth. All outputs should be independently reviewed and validated before using them for decision‑making, compliance, legal, financial, medical, safety-critical, or other regulated, or high‑risk purposes  Your ability to use AI Features may be limited to a certain number of Interactions (when you use AI Features) based upon Kofile’s agreement with the Customer whose records you chose to interact.

  • Monitoring and Enforcement

Kofile may monitor use of Kleio to maintain security and compliance with the terms of use.  Kofile may suspend or terminate your access for violations of this Agreement or Customer Agreement, if applicable.

  1. No Independent Rights

If you are an Organizational User, you receive no independent subscription or license rights from Kofile. Your right to use Kleio exists solely through the Customer’s authorization and your access, as an Organizational User, will be terminated if the Customer subscription ends or your authorization is revoked.

  • Disclaimer of Warranties

THE KLEIO PLATFORM, INCLUDING ANY AI-FEATURES, IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. KOFILE AND ITS LICENSORS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABLITIY, AVAILABILITY, TITLE, OR SUITABILITY OF THE PLATFORM OR ANY OUTPUTS GENERATED THROUGH IT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOFILE DISCLAIMS ALL WARRANTIES EXPRESS, IMPLIED, OR STATUTORY INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

KOFILE MAKES NO WARRANTY THAT KLEIO WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, OR SAFE.  YOU EXPRESSLY AGREE THAT USE OF THE KLEIO PLATFORM IS AT YOUR SOLE RISK AND THAT KOFILE, ITS AFFILIATES AND THEIR THIRD-PARTY LICENSORS SHALL NOT BE RESPONSIBLE FOR ANY TERMINATION, INTERRUPTION OF SERVICES, DELAYS, ERRORS, FAILURES OF PERFORMANCE, DEFECTS, LINE FAILURES, OR OMISSIONS ASSOCIATED WITH KLEIO OR YOUR USE THEREOF.  YOUR SOLE REMEDY AGAINST KOFILE FOR DISSATISFACTION WITH KLEIO IS TO CEASE YOUR USE OF KLEIO.  SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.  YOU MAY HAVE OTHER RIGHTS, WHICH VARY BY JURISDICTION.  WHEN THE IMPLIED WARRANTIES ARE NOT ALLOWED TO BE EXCLUDED IN THEIR ENTIRETY, YOU AGREE THAT THEY WILL BE LIMITED TO THE GREATEST EXTENT AND SHORTEST DURATION PERMITTED BY LAW.

  • LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES SHALL KOFILE OR ANY OF ITS THIRD-PARTY LICENSORS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF USE, LOSS OF DATA, LOSS OF INFORMATION OR PROGRAMS, TRANSACTION LOSSES, OPPORTUNITY COSTS, INTERRUPTION OF BUSINESS OR COSTS OF PROCURING SUBSTITUTE GOODS) RESULTING FROM, ARISING OUT OF OR IN ANY WAY RELATING TO KLEIO, OR ANY DISRUPTION OR DELAY IN THE PERFORMANCE OF KLEIO, REGARDLESS OF THE FORM OF THE CLAIM OR ACTION, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE OR OTHERWISE, AND REGARDLESS OF WHETHER OR NOT SUCH DAMAGES WERE FORESEEN, UNFORESEEN OR FORESEEABLE, EVEN IF OWNER OR ITS THIRD-PARTY LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES AND JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. 

WHEN THE IMPLIED WARRANTIES ARE NOT ALLOWED TO BE EXCLUDED IN THEIR ENTIRETY, THEY WILL BE LIMITED TO THE SHORTEST DURATION PERMITTED BY LAW. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.  IN ANY CASE, KOFILE’S AND ITS LICENSORS’ ENTIRE LIABILITY UNDER ANY PROVISION OF THESE TERMS WILL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO KOFILE FOR KLEIO IN THE SIX (6) MONTHS PRECEDING THE FIRST EVENT GIVING RISE TO LIABILITY, OR TEN DOLLARS ($10.00), WHICHEVER IS GREATER.

  • Termination and Restriction of Access.  Kofile may terminate or suspend your access to Kleio for breach of these Terms or for any other justified reason under applicable law, with or without prior notice. Kofile shall not be liable for any losses or damages arising from any such termination of service.
  • Limitation on Time to File Claims.  Any cause of action or claim you may have arising out of or relating to these Terms or your use of Kleio must be commenced within one (1) year after the cause of action accrues, otherwise, such cause of action or claim is permanently barred.
  • Governing Law & Jurisdiction.  For Public Users, these Terms are governed by the laws of the State of Texas U.S.A.  Public Users hereby irrevocably consent to the exclusive jurisdiction and venue of the courts in Dallas, Texas in all disputes arising out of or relating to the use of Kleio. Governing law for Organizational Users is controlled by the Customer Agreement.
  • Changes to these Terms

Kofile may update these terms from time to time. Continued use of Kleio after changes become effective constitutes acceptance of the updated terms.

  • General.  You agree that no joint venture, partnership, employment, or agency relationship exists between you and Kofile as a result of these Terms or use of Kleio.  You may not assign these Terms without the prior written consent of Kofile in all instances.  Kofile may assign these Terms, in whole or in part, at any time.  Kofile’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of Kofile’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of Kleio or information provided to or gathered by Kofile with respect to such use.

If any part of these Terms are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of these Terms shall continue in effect.

These Terms, including the Privacy Policy and all other documents expressly incorporated herein by reference, constitute the entire agreement between you and Kofile with respect to Kleio, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Kofile.  A printed version of these Terms and of any notices given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
